1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Meriana ("Meriana," "we," "us," or "our"), governing your access to and use of the Meriana service, including the website at meriana.app, the intelligence briefing platform, and any related software, applications, APIs, and email services (collectively, the "Service").

By accessing or using the Service — including by creating an account, clicking an "I agree" button, or continuing to use the Service after these Terms are posted — you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Service.

If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2. Description of Service

Meriana is an AI-powered intelligence briefing platform. Users configure topics, companies, markets, and themes they wish to monitor. The Service uses third-party artificial intelligence models and live web search technology to generate synthesised briefings on those topics, which are delivered to users via email and through the Service interface on user-defined schedules.

The Service includes features such as source trust ratings, sentiment markers, contradiction flags, briefing archives, search functionality, and data export via RSS feed and webhook. Features may vary by subscription plan.

We reserve the right to modify, discontinue, or limit access to all or any part of the Service at any time, with or without notice, though we will endeavour to provide reasonable advance notice of material changes.

3. Account Registration

To access most features of the Service, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the confidentiality of your account credentials and not share them with any third party
• Accept responsibility for all activity that occurs under your account, whether or not authorised by you
• Notify us immediately at hello@meriana.app if you become aware of any unauthorised access to or use of your account
• Not create multiple accounts to circumvent restrictions or abuse free trial entitlements

You must be at least eighteen (18) years of age to create an account or use the Service. We reserve the right to refuse registration or terminate accounts at our sole discretion.

4. Subscriptions and Payment

(a) Subscription Plans

The Service is offered under various subscription tiers, including a limited free tier and paid plans with expanded features. Current plan details, feature inclusions, and pricing are available at meriana.app. We reserve the right to introduce new plans or modify existing plan features.

(b) Billing and Automatic Renewal

Paid subscriptions are billed in advance on a recurring monthly or annual basis. By subscribing to a paid plan, you authorise us (or our payment processor acting on our behalf) to charge your designated payment method automatically at the start of each billing period until you cancel. You are responsible for ensuring your payment method remains valid.

(c) Free Trial

We may offer a free trial of paid plan features for a specified period. No payment method is required for the trial, and you will not be charged automatically. At the conclusion of the trial, your account will move to the Free plan unless you choose a paid plan. We will notify you by email before your trial ends.

(d) Cancellation

You may cancel your paid subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the then-current billing period, and you will retain access to paid features through that date. We do not provide pro-rated refunds for unused portions of a prepaid subscription period, except where required by applicable law.

(e) Pricing Changes

We reserve the right to modify our subscription prices. We will provide you with at least thirty (30) days' advance written notice (by email to the address associated with your account) before any price change takes effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

(f) Taxes

All fees are exclusive of applicable taxes. You are responsible for all sales, use, VAT, GST, or similar taxes imposed by any governmental authority on your subscription, except for taxes assessed on Meriana's net income.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any manner that violates any applicable federal, state, local, or international law or regulation
• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on any part of the Service
• Use automated scripts, bots, scrapers, crawlers, or other means to access, extract, or harvest data from the Service beyond normal intended use
• Attempt to probe, scan, test the vulnerability of, or breach the security or authentication measures of the Service or any related systems
• Share, sublicense, resell, or transfer access to the Service to any third party without our express written consent
• Use the Service to generate content that facilitates unlawful activity, or that is defamatory, obscene, fraudulent, or violates the rights of any third party
• Use the Service in a manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service
• Circumvent, disable, or interfere with security-related features of the Service

We reserve the right to investigate suspected violations of this policy and to suspend or terminate access without notice if we reasonably believe a violation has occurred.

6. Intellectual Property

(a) Meriana's Property

The Service, including its underlying technology, algorithms, software, design, trademarks, service marks, logos, and content (excluding User Content as defined below), is owned by or licensed to Meriana and is protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws. Nothing in these Terms transfers ownership of any Meriana intellectual property to you.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes during the term of your subscription.

(b) User Content

The topics, companies, themes, keywords, filter preferences, and other inputs you provide to the Service ("User Content") remain your property. By providing User Content, you grant Meriana a non-exclusive, worldwide, royalty-free, fully paid licence to use, reproduce, process, store, display, and transmit your User Content solely to the extent necessary to provide, maintain, and improve the Service for you.

(c) Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Meriana an unrestricted, royalty-free, perpetual right to use such feedback for any purpose, without any obligation to compensate you.

7. AI-Generated Content — Important Disclaimer

The Service uses artificial intelligence and automated processes to generate briefings. Meriana makes no representations or warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of any AI-generated briefing or other output of the Service.

Specifically, briefings generated by the Service:

• May contain errors, omissions, inaccuracies, or outdated information, notwithstanding the use of live web search
• Do not constitute professional advice of any kind, including financial, investment, legal, medical, regulatory, or other advice for which a professional licence is required
• Are sourced from third-party publications that Meriana does not control and cannot verify
• Reflect source trust ratings that are algorithmic estimates based on signals, not guarantees of accuracy or credibility
• May not capture all material developments on a given topic within or between delivery windows

You are solely responsible for independently verifying any information contained in a briefing before relying upon it for any business, investment, legal, or other consequential decision. Meriana is not liable for any losses, damages, or consequences arising from your reliance on Service output.

8. Marketing Communications

By creating an account, you agree to receive transactional communications related to the Service, including account confirmations, billing receipts, briefing deliveries, security alerts, and service updates. These communications are necessary to operate your account and cannot be disabled while your account is active.

You also agree that Meriana may send you marketing communications about the Service, new features, upgrades, and related products and services. We may personalise such communications based on your usage of the Service and the topics you track, and we may deliver marketing messages through email and third-party advertising platforms. You may opt out of marketing communications at any time as described in our Privacy Policy, without affecting your receipt of transactional messages.

9. Third-Party Services and Links

The Service integrates with and depends upon third-party services, including Google LLC's Gemini AI model and web search APIs. Your use of the Service is subject to the applicable terms and privacy policies of those third-party services, and you are responsible for reviewing and complying with them. Meriana is not responsible for the practices, content, availability, or reliability of any third-party service, and we make no representations regarding the same.

Briefings may contain links to third-party websites or publications. Those links are provided for convenience only. We do not control third-party websites and are not responsible for their content, privacy practices, or availability.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. Meriana does not warrant that: (a) the Service will be uninterrupted, timely, or error-free; (b) defects will be corrected; (c) the Service or the servers that make it available are free of viruses or other harmful components; or (d) the Service will meet your specific requirements.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Meriana and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, however caused and under any theory of liability, including contract, tort, strict liability, or otherwise — including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services — arising out of or in connection with: (a) your use of or inability to use the Service; (b) any content obtained from or generated by the Service; (c) any unauthorised access to or alteration of your data; or (d) any other matter relating to the Service.

In no event will Meriana's aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of: (i) the total fees paid by you to Meriana in the twelve (12) calendar months immediately preceding the event giving rise to the claim; or (ii) one hundred US dollars ($100). The existence of more than one claim will not enlarge this limit.

Some jurisdictions do not allow the exclusion of certain implied warranties or the limitation of certain types of damages. If these laws apply to you, some of the above exclusions or limitations may not apply, and you may have additional rights.

12. Indemnification

You agree to indemnify, defend, and hold harmless Meriana and its affiliates, officers, directors, employees, contractors, agents, and successors from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your infringement of any third-party right, including intellectual property rights or privacy rights; or (d) your User Content. We reserve the right to assume exclusive control of the defence of any matter subject to your indemnification, and you agree to cooperate with our defence of such claims.

13. Termination

We may suspend or terminate your account and your access to the Service, with or without cause and with or without prior notice, at our sole discretion. Grounds for termination include, without limitation: violation of these Terms, non-payment of fees, conduct that we believe is harmful to other users or to Meriana, or a request by law enforcement or a government authority.

You may terminate your account at any time by following the account deletion process in your account settings or by contacting us. Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 6, 7, 10, 11, 12, 14, and 16 — will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

(a) Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at hello@meriana.app and attempt to resolve the dispute informally for a period of at least thirty (30) days from the date of the written notice of the dispute.

(b) Jurisdiction

If informal resolution is unsuccessful, each party submits to the exclusive jurisdiction of the state and federal courts located in Colorado for resolution of any dispute arising out of or relating to these Terms or the Service. You waive any objection to the laying of venue in such courts.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email to the address associated with your account and by posting a prominent notice on our website at least thirty (30) days before the changes take effect. For non-material changes, we may update the Terms without specific notification, and the date at the top of this page will reflect the most recent revision. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meriana with respect to the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction.
• No third-party beneficiaries: These Terms do not confer any rights or remedies upon any third party.
• Force majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
